Metalcorp Group B.V. (the "Issuer") will issue on 27 June 2013 (the "Issue Date") up to EUR 30,000,000
notes due 27 June 2018 (the "Notes"). The Notes will bear interest from and including 27 June 2013 to, but
excluding, 27 June 2018 at a rate of 8,75 % per annum, payable annually in arrears on 27 June of each year.
The obligations under the Notes constitute unsubordinated, unsecured obligations of the Issuer ranking pari
passu among themselves and pari passu with all other unsecured and unsubordinated obligations of the Issuer,
unless such obligations are accorded priority under mandatory provisions of statutory law.
The Notes will be included to trading in the Open Market of Deutsche Boerse AG (unregulated market of the
Frankfurt stock exchange (Freiverkehr der Frankfurter Wertpapierbörse)) and simultaneously included in the
Entry Standard segment for bonds presumably on 27 June 2013.

gen in Höhe von bis zu EUR 30.000.000 mit Fälligkeit am 27. Juni 2018 (die ,,Schuldverschreibungen") be-
geben. Die Schuldverschreibungen werden ab dem 27. Juni 2013 (einschließlich) bis zum Datum der Fälligkeit
am 27. Juni 2018 (ausschließlich) mit einem Zinssatz von jährlich 8,75 % verzinst, zahlbar jeweils nachträglich
am 27. Juni eines jeden Jahres.
Die Schuldverschreibungen begründen nicht nachrangige, nicht besicherte Verbindlichkeiten der Emittentin, die
untereinander und mit allen anderen nicht besicherten und nicht nachrangigen Verbindlichkeiten der Emittentin
gleichrangig sind, soweit diesen Verbindlichkeiten nicht durch zwingende gesetzliche Bestimmung ein Vorrang
eingeräumt wird.
Die Einbeziehung der Schuldverschreibungen in den Open Market der Deutsche Börse AG (Freiverkehr der

Trends
When compared to the financial year 2012, METALCORPGROUP expects a similar
performance in the financial year 2013.
The order book of the Aluminium division is already booked at a slightly higher level than at
the same time in the previous year.
The Steel division is expected to generate similar revenue and margin as in the last financial
year. In the coming year, Steelcom plans to further expand its global presence and expertise
by adding teams and benefiting from the trading and financing platforms that are currently in
place. These teams will be added on the condition that they will contribute almost instantly to
the Company's performance.
During the financial year 2012 METALCORPGROUP has developed new trade finance
facilities for the Non-ferrous division in Europe and Asia, which will enable
METALCORPGROUP to benefit from more bulk trading opportunities. Furthermore,
METALCORPGROUP will further develop the synergies between the different divisions and
its global network.
