L'obligation de type dette senior, identifiée par le code ISIN FR0010801068 et émise en France par la Caisse Française de Financement Local (CFFL), entité publique spécialisée dans le financement sécurisé des collectivités territoriales françaises et historiquement liée au groupe Dexia avant de s'inscrire dans le dispositif SFIL pour le refinancement du secteur public, a atteint sa maturité le 16 septembre 2016 et a été intégralement remboursée à sa valeur faciale de 100%, concrétisant ainsi son engagement financier auprès des investisseurs pour cette émission de 1,25 milliard d'euros libellée en EUR, qui offrait un taux d'intérêt annuel de 3,5% avec une fréquence de paiement unique par an et une taille minimale d'achat de 1 000 euros.

The Base Prospectus referred to below (as completed by these Final Terms) has been prepared
on the basis that any offer of Obligations Foncières in any Member State of the European
Economic Area which has implemented the Prospectus Directive (2003/71/EC) (the "Prospectus
Directive") (each, a "Relevant Member State") will be made pursuant to an exemption under the
Prospectus Directive, as implemented in that Relevant Member State, from the requirement to
publish a prospectus for offers of the Obligations Foncières. Accordingly any person making or
intending to make an offer in that Relevant Member State of the Obligations Foncières may only
do so in circumstances in which no obligation arises for the Issuer or any Joint Lead Manager to
publish a prospectus pursuant to Article 3 of the Prospectus Directive or supplement a prospectus
pursuant to Article 16 of the Prospectus Directive, in each case, in relation to such offer. Neither
the Issuer nor any Joint Lead Manager has authorised, nor do they authorise, the making of any
offer of Obligations Foncières in any other circumstances.

PART A ­ CONTRACTUAL TERMS
Terms used herein shall be deemed to be defined as such for the purposes of the Conditions set
forth in the Base Prospectus dated 10 July 2009 (the "Base Prospectus") and the supplement to
the Base Prospectus dated 1 September 2009 which together constitute a base prospectus for the
purposes of the Prospectus Directive (Directive 2003/71/EC).
This document constitutes the Final Terms of the Obligations Foncières described herein for the
purposes of Article 5.4 of the Prospectus Directive and must be read in conjunction with such Base
Prospectus as so supplemented. Full information on the Issuer and the offer of the Obligations
Foncières is only available on the basis of the combination of these Final Terms and the Base
Prospectus as so supplemented. The Base Prospectus and the supplement to the Base
Prospectus are available for viewing at the office of the Fiscal Agent or each of the Paying Agents
and were published in accordance with the provisions of Article 14 of the Prospectus Directive,
admitting the validity of disclosure carried out, inter alia and always at the choice of the Issuer,
though release on the website of the Issuer (www.dexia-ma.com) or on the website of the

The existing 1,000,000,000 3.50 per cent. Obligations Foncières due 16 September 2016
