­ Solely for the purposes of the product governance rules as defined in Directive 2014/65/EU of the European
Parliament and of the Counsel of 15 May 2014 on markets in financial instruments and implementing legislation
(as amended, "MiFID II"), the target market assessment in respect of the Notes has led Danske Bank A/S,
DekaBank Deutsche Girozentrale and NatWest Markets N.V. (each a "Manufacturer" and together the
"Manufacturers") to the conclusion that (i) the target market for the Notes is retail clients, professional clients
and eligible counterparties each as defined in MiFID II; and (ii) all channels for distribution of the Notes are
appropriate. Any person subsequently offering, selling or recommending the Notes (a "distributor") should take
into consideration the Manufacturers' target market assessment; however, a distributor subject to MiFID II is
responsible for undertaking its own target market assessment in respect of the Notes (by either adopting or refining
the Manufacturers' target market assessment) and determining appropriate distribution channels, subject to the
distributor's suitability and appropriateness obligations under MiFID II, as applicable.

GRÜNDE FÜR DAS ANGEBOT
Der Nettoerlös aus der Emission der
Schuldverschreibungen wird von der Emittentin für
allgemeine Unternehmenszwecke verwendet. Ein Betrag
in Höhe des Nettoerlöses der Schuldverschreibungen wird
jedoch ­ unter Berücksichtigung der dynamischen
Struktur des Portfolios (siehe unten) - zur Finanzierung
neuer oder zur Refinanzierung bestehender Projekte unter
dem Förderprogramm der Emittentin "Energie vom Land"
verwendet, die gemäß dem auf der Website der Emittentin

veröffentlichten "Green Bond Framework" als geeignet
eingestuft wurden ("Geeignete Grüne Darlehen").
Das Förderprogramm "Energie vom Land" hat die
Förderung von Investitionen in die Erzeugung,
Speicherung und Verteilung von erneuerbaren Energien
zum Ziel. Finanzierungen für Projekte, die unter diesem
Programm gefördert werden, können mindestens in den
folgenden Kategorien als Geeignete Grüne Darlehen
identifiziert werden:
- Windenergie
- Solarenergie
Das gemeinsame Ziel aller Projekte unter dem
Förderprogramm "Energie vom Land" ist die Bekämpfung
des Klimawandels, insbesondere durch die Verringerung
von Treibhausgasemissionen.
Die Zahlung von Kapital und Zinsen auf die
Schuldverschreibungen erfolgt aus den allgemeinen
Mitteln der Emittentin und ist nicht von der Entwicklung
der Projekte abhängig, die unter dem Förderprogramm
"Energie vom Land" finanziert werden.
Bei der Begebung der Schuldverschreibungen wird die
Emittentin einen Betrag, der dem Nettoerlös der
Schuldverschreibungen entspricht, direkt einer
Übersichtstabelle zuweisen, die dazu dient, die Zuteilung
von Mitteln aus ihren Emissionen von Green Bonds zu
dokumentieren (der "Allocation Report"). Dieser
Allocation Report enthält die Anzahl und den
Gesamtbetrag aller Geeigneten Grünen Darlehen auf
aggregierter Basis. Die Emittentin ist bestrebt, im Laufe
der Zeit ein Zuteilungsniveau für das Portfolio der
Geeigneten Grünen Darlehen beizubehalten, das dem
Saldo der Nettoerlöse aus den ausstehenden Green Bonds
entspricht oder diesen übersteigt. Im Laufe eines
Geschäftsjahres wird das Portfolio der Geeigneten Grünen
Darlehen seine dynamische Struktur beibehalten, indem
sowohl neue Darlehen hinzugefügt als auch
zurückgezahlte Darlehen herausgenommen und laufende
Tilgungen berücksichtigt werden. Der Zuteilungsbericht
wird einmal jährlich mit Stichtag 31. Dezember
aktualisiert und auf der Website der Emittentin zur
Verfügung gestellt.
Falls die Verwendung des Nettoerlöses aus den
Schuldverschreibungen durch die Emittentin ein
Kriterium bei der Investitionsentscheidung des Anlegers
im Hinblick auf die Schuldverschreibungen ist, sollte der
Anleger die vorstehenden Aussagen in Betracht ziehen
und seinen Rechtsanwalt oder andere Berater hinzuziehen,
bevor er eine Investition in die Schuldverschreibungen der
Emittentin tätigt.
REASON FOR THE OFFER
The net proceeds from the issue of the Notes will be
applied by the Issuer to its general corporate purposes.
However - subject to the dynamic structure of the portfolio
(see below) - an amount equal to the net proceeds of the
Notes will be applied to finance new or refinance existing
projects which have been identified as eligible within the
Issuer's Rural Energy promotional programme ("Eligible
Green Loans") in accordance with the Issuer's Green
Bond Framework as published on the Issuer's website.

The Issuer's Rural Energy promotional programme aims
to promote investments in the production, storage and
distribution of renewable energy. Financings for projects
under this promotional programme may be identified as
Eligible Green Loans within at least the following
categories:
- Wind energy
- Solar energy
The common objective of all projects under the Rural
Energy promotional programme is to counter climate
change, in particular by reducing greenhouse gas
emissions.
Payment of principal of and the interest on the Notes will
be made from the Issuer's general funds and will not be
linked to the performance of any projects financed under
the Rural Energy promotional programme.
Upon issuance of the Notes, the Issuer will directly
allocate an amount equal to the net proceeds of the Notes

from its Green Bond issuances (the "Allocation Report").
This Allocation Report contains the number and the total
amount of all Eligible Green Loans on an aggregated
basis. The Issuer will strive, over time, to maintain a level
of allocation for the Eligible Green Loan portfolio that
matches or exceeds the balance of net proceeds from its
outstanding Green Bonds. During the course of any fiscal
year, the Eligible Green Loan portfolio will maintain its
dynamic structure by both adding new and removing
repaid loans and by taking ongoing loan repayments into
account. The Allocation Report will be updated once a
year with data as at 31 December and will be made
available on the Issuer's website.
If the Issuer's use of the net proceeds from the Notes is a
factor in the investor's decision to invest in the Notes, the
investor should consider the foregoing statements and
consult with its counsel or other advisors before making
an investment in the Issuer's Notes.
