The HCV Market
A 2011 study estimates that approximately 160 million individuals worldwide are infected with HCV. We estimate that approximately
7.9 million of these individuals are in the United States, France, Germany, Italy, Spain, United Kingdom and Japan and approximately
12.1 million individuals are in the rest of Europe and Latin America, with the majority of those in each region being genotype 1-infected HCV
patients. We also estimate that approximately 70.8 million individuals in Asia are infected with HCV, with approximately 40% of those being
genotype 1-infected HCV patients. On October 10, 2014, we received U.S. Food and Drug Administration ("FDA") approval of Harvoni, the
first once-daily single tablet regimen for the treatment of chronic HCV genotype 1 infection in adults with a treatment duration of eight, 12 or
24 weeks depending on prior treatment history. We believe that up to half of naive, non-cirrhotic genotype 1-infected HCV patients in the
United States are potentially eligible for an eight week Harvoni regimen.
The HIV Market
We have three single tablet regimens for the treatment of HIV for patients new to antiretroviral therapy: Atripla, Complera/Eviplera and
Stribild. We launched Atripla, our first single tablet regimen, in 2006. In

2011, we launched Complera/Eviplera, our second single tablet regimen, which has also been approved by the FDA and European Medicines
Agency ("EMA") to be used by certain adult patients switching from another stable antiretroviral regimen. We received approval from the
FDA and EMA for Stribild, our third single tablet regimen, in 2012 and 2013, respectively. We estimate that, as of approximately 21 months
after the launch of Complera and Stribild, approximately 60% and 58%, respectively, of the patients in the United States taking each product
were switching from another HIV treatment regimen and that 40% and 58%, respectively, of each such patient population was new to HIV
treatment.
On November 6, 2014, we announced that we submitted a new drug application ("NDA") to the FDA for our investigational, once-daily
single tablet regimen containing elvitegravir 150 mg, cobicistat 150 mg, emtricitabine 200 mg and tenofovir alafenamide ("TAF") 10 mg
("E/C/F/TAF") for the treatment of HIV-1 infection in adults. The data submitted in the NDA support the use of the regimen among adult and
adolescent treatment-naive HIV individuals, virologically suppressed patients who switch regimens and those with renal impairment. If
approved, E/C/F/TAF would be our first single tablet regimen to contain TAF.

Maturity
The 2020 notes will mature on February 1, 2020.

Interest payment dates
We will pay interest on the notes on February 1 and August 1 of each year, commencing
on August 1, 2015.

Interest rate
The 2020 notes will bear interest at 2.350% per year. The 2025 notes will bear interest
at 3.500% per year. The 2045 notes will bear interest at 4.500% per year.

Optional redemption
We may redeem the notes of any series, in whole or in part, at any time and from time

Change of control offer

Certain covenants
