less than 5 Business Days, at a price of 100% of the principal amount, plus accrued
interest to the Redemption Date. We will redeem all of the Medium-Term Notes
if we exercise our option.

Quarterly, on the 5th day of March, June, September and December, commencing
December 5, 2008
Interest Rate:
The Medium-Term Notes bear interest at different fixed rates, during different
