The notes will mature on January 10, 2020. The notes will bear interest at a floating rate equal to three-month LIBOR plus 0.790%. Interest
on the notes is payable quarterly on the 10th day of each January, April, July and October, commencing April 10, 2017. Citigroup may redeem the
notes in whole, but not in part, on or after December 10, 2019, at the redemption price described under "Description of Notes" below. In addition,
Citigroup may redeem the notes prior to maturity if changes involving United States taxation occur which could require Citigroup to pay additional
