The Notes constitute Social Notes and an amount
equal or equivalent to the net proceeds will be used to
finance and/or refinance, in whole or in part, one or
more of the Eligible Social Assets as described in the
Social Bond Framework of the Issuer.

second party opinion (the "Second Party Opinion")
