All references in this Part I. of the Pricing Supplement to numbered Sections and Paragraphs are unless
stated otherwise to sections and paragraphs of the Conditions.
The Terms and Conditions which are applicable to the Securities and the blanks therein shall be deemed to
be completed and (as applicable) amended by the information contained in this Pricing Supplement as if
such information were inserted therein. All provisions in the Terms and Conditions corresponding to items in
this Pricing Supplement which are either not selected or completed (and amended as applicable) or which
are deleted shall be deemed to be deleted from the Terms and Conditions applicable to the Securities (the
"Conditions").

For the purpose of this Series only, the Terms and
Conditions shall be supplemented as follows:
The aggregate principal amount of the Securities of
CHF 300,000,000 is divided into Securities with
denominations of CHF 5,000 (five thousand Swiss
francs) per Note and integral multiples thereof.
The Securities and all rights in connection therewith
are documented in the form of a Permanent Global
Security (the Permanent Global Security) which
shall be deposited by the Principal Swiss Paying
Agent with SIX SIS Ltd or any other intermediary in
Switzerland recognized for such purposes by SIX
Swiss Exchange Ltd (SIX SIS Ltd or any such other
intermediary, the Intermediary). Once the
Permanent Global Security is deposited with the
Intermediary and entered into the accounts of one or
more participants of the Intermediary, the Securities
will constitute intermediated securities
(Bucheffekten)
(Intermediated Securities) in
accordance with the provisions of the Swiss Federal
Intermediated Securities Act (Bucheffektengesetz).
Each Holder (as defined below) shall have a quotal
co-ownership interest (Miteigentumsanteil) in the
Permanent Global Security to the extent of his claim
against the Issuer, provided that for so long as the
Permanent Global Security remains deposited with
the Intermediary the co-ownership interest shall be
suspended and the Securities may only be
transferred by the entry of the transferred Securities
in a securities account of the transferee.
The records of the Intermediary will determine the
number of Securities held through each participant in
that Intermediary. In respect of the Securities held in
the form of Intermediated Securities, the holders of
such Securities (the Holders) will be the persons
holding the Securities in a securities account
(Effektenkonto) which is in their name, or in case of
Intermediaries (Verwahrungsstellen),
the
Intermediaries (Verwahrungsstellen) holding the
Securities for their own account in a securities
account (Effektenkonto) which is in their name.

Neither the Issuer nor the Holders shall at any time
have the right to effect or demand the conversion of
the Permanent Global Security (Globalurkunde) into,
or the delivery of, uncertificated securities
(Wertrechte) or definitive Securities (Wertpapiere).
No physical delivery of the Securities shall be made
unless and until definitive Securities (Wertpapiere)
are printed. Securities may only be printed, in whole,
but not in part, if the Principal Swiss Paying Agent
determines, in its sole discretion, that the printing of
the definitive Securities (Wertpapiere) is necessary
or useful. Should the Principal Swiss Paying Agent
so determine, it shall provide for the printing of
definitive Securities (Wertpapiere) without cost to the
Holders. In the case definitive Securities
(Wertpapiere) are printed, the Permanent Global
Certificate will immediately be cancelled by the
Principal Swiss Paying Agent and the definitive
Securities (Wertpapiere) shall be delivered to the
Holders against cancellation of the Securities in the
Holders' securities accounts.

Allgemeine Bedingungen
Form der Obligationen: TEFRA-D Regeln:
Ausschliesslich für diese Serie werden die
Bedingungen wie folgt ergänzt:
Der Gesamtnennbetrag der Anleihe von CHF
300.000.000 ist in Obligationen (jede, eine
Obligation und gesamthaft die Obligationen) mit
einem Nennwert von CHF 5.000 (fünftausend
Schweizer Franken) pro Obligation und ganzen
Vielfachen davon aufgeteilt.
Die Obligationen und alle damit verbundenen Rechte
sind in der Form einer Globalurkunde auf Dauer
verbrieft, welche durch die Hauptzahlstelle bei der
SIX SIS AG oder einer anderen in der Schweiz von
der SIX Swiss Exchange AG anerkannten
Verwahrungsstelle (SIX SIS AG oder jede andere
Verwahrungsstelle, die Verwahrungsstelle)
hinterlegt wird. Sobald die Globalurkunde auf Dauer
bei der Verwahrungsstelle hinterlegt ist und den
Effektenkonten eines oder mehreren Teilnehmern der
Verwahrungsstelle gutgeschrieben wurde, stellen die
Obligationen Bucheffekten (Bucheffekten) gemäss
den Bestimmungen des Bucheffektengesetzes dar.
Jedem Obligationär (gemäss untenstehender
Definition) steht im Umfang seiner Forderung gegen
den Emittenten ein sachenrechtlicher
Miteigentumsanteil an der Globalurkunde auf Dauer
zu, wobei, solange die Globalurkunde auf Dauer bei
der Verwahrungsstelle hinterlegt ist, der
Miteigentumsanteil suspendiert ist und die
Obligationen nur durch Gutschrift der zu
übertragenden Obligationen in einem Effektenkonto
des Empfängers übertragen werden können.

Weder der Emittent noch die Obligationäre haben
das Recht, die Umwandlung der Globalurkunde auf
Dauer in Wertrechte oder Wertpapiere, bzw. die
Auslieferung von Wertrechten oder Wertpapieren zu
verlangen oder zu veranlassen.
Die Unterlagen der Verwahrungsstelle bestimmen die
Anzahl Obligationen, welche durch jeden Teilnehmer
der Verwahrungsstelle gehalten wird. In Bezug auf
Obligationen, welche Bucheffekten darstellen, gelten
diejenigen Personen als Obligationäre (die
Obligationäre), die die Obligationen in einem auf
ihren Namen lautenden Effektenkonto halten, bzw. im
Falle von Verwahrungsstellen, die die Obligationen in
einem auf ihren Namen lautenden Effektenkonto auf
eigene Rechnung halten.
Obligationen werden nur dann physisch ausgeliefert,
wenn sie in Wertpapieren verbrieft werden. Einzig die
Hauptzahlstelle hat das Recht, den Druck der
Obligationen zu beschliessen, wenn dies nach dem
Ermessen der Hauptzahlstelle notwendig oder
nützlich ist. Beschliesst die Hauptzahlstelle den
Druck und die Auslieferung von Wertpapieren,
entstehen den Obligationären dadurch keine Kosten.
Falls Wertpapiere gedruckt werden, werden auf
gedruckten Wertpapieren Kopien der Unterschriften
von zwei Unterschriftsberechtigten des Emittenten
angebracht. Bei Auslieferung der Wertpapiere wird
die Globalurkunde auf Dauer unverzüglich durch die
Hauptzahlstelle entwertet und die Wertpapiere den
Obligationären, gegen Löschung der Bucheffekten in
ihrem Effektenkonto, ausgeliefert.

Representation
In accordance with article 43 of the listing rules of the
SIX Swiss Exchange, the Issuer has appointed
Deutsche Bank AG Zurich Branch, located at
Uraniastrasse 9, CH-8001 Zurich, Switzerland, as
recognised representative to lodge the listing
application with the Regulatory Board of the SIX
Swiss Exchange.

Bank AG Zurich Branch, Uraniastrasse 9, CH-8001
