The notes will mature on January 10, 2020. The notes will bear interest at a fixed rate equal to 2.450% per annum. Interest on the notes is
payable semi-annually on the 10th day of each January and July, commencing July 10, 2017. Citigroup may redeem the notes (i) in whole at any
time or in part from time to time, on or after July 10, 2017 and prior to December 10, 2019 and (ii) in whole, but not in part, on or after December
10, 2019, at the applicable redemption price described under "Description of Notes" below. In addition, Citigroup may redeem the notes prior to
maturity if changes involving United States taxation occur which could require Citigroup to pay additional amounts, as described under
