The notes will mature on October 26, 2020. The notes will bear interest at a floating rate equal to three-month LIBOR plus 1.310%. Interest
on the notes is payable quarterly on the 26th day of each January, April, July and October, commencing January 26, 2016. The notes may not be
redeemed prior to maturity unless changes involving United States taxation occur which could require Citigroup to pay additional amounts, as
