This offering memorandum constitutes an offering of EDF S.A.'s (the "Issuer") 5.993% fixed rate notes due May 23, 2030 (the "Seven-Year
Fixed Rate Notes") bearing interest at a rate of 5.993% per annum and 6.492% fixed rate notes due May 23, 2053 (the "Thirty-Year Fixed Rate
Notes" and together with the Seven-Year Fixed Rate Notes, the "Notes") bearing interest at a rate of 6.492% per annum. Interest on the Notes will
be payable semi-annually in arrears on May 23 and November 23 of each year with the first such interest payment date on November 23, 2023. See
"Description of Notes--Principal, Maturity and Interest." The offering is being made on a private placement basis in all of the provinces of Canada.
The Issuer may redeem the Notes prior to maturity, in whole or in part, at any time or from time to time at a make-whole redemption price,
as described under "Description of Notes--Redemption--Optional Redemption." The Issuer may also, at any time or from time to time, during a
period of three to six months preceding the applicable maturity date, as the case may be, redeem, in whole or in part, the relevant series of Notes at
