(To Prospectus Dated April 30, 2010)

We are offering $600,000,000 aggregate principal amount of our floating rate senior notes due 2013 (the "floating rate notes")
and $500,000,000 aggregate principal amount of our 2.950% senior notes due 2017 (the "fixed rate notes").

The fixed rate notes will mature on March 15, 2017. We will pay interest on the fixed rate notes on each March 15 and
September 15, commencing on September 15, 2012. The floating rate notes and the fixed rate notes are collectively referred to herein
as the "notes."

The floating rate notes will mature on September 13, 2013. The floating rate notes will bear interest at a rate per annum, reset
quarterly, equal to three month LIBOR plus 1.400%. We will pay interest on the floating rate notes on each March 13, June 13,
September 13 and December 13, commencing on June 13, 2012.

We may redeem the fixed rate notes at any time, and from time to time, by paying to the holders thereof 100% of the principal
amount plus a make-whole redemption premium. The floating rate notes are not redeemable prior to maturity. If a change of control
purchase event occurs, we will be required to offer to purchase all of the notes from the holders at a price equal to 101% of the
principal amount thereof.

The notes will be unsecured and will rank senior to all our existing and future subordinated debt and will rank equally in right of
payment with our existing and future unsecured senior debt. The notes will be effectively subordinated to any of our secured debt. The
notes will be structurally subordinated to the debt and all other obligations of our subsidiaries.
