In relation to notes issued under this Programme (as defined in "General Description of the Programme General"),
application has been made to the Commission de Surveillance du Secteur Financier (the "CSSF") of the Grand-
Duchy of Luxembourg ("Luxembourg") in its capacity as competent authority (the "Competent Authority") under the
Luxembourg "Act on Securities Prospectuses" (loi relative aux prospectus pour valeurs mobilières) (the

Benchmark Administration ("IBA"), or (i i) the Sterling Overnight Index Average ("SONIA"), which is
currently provided by the Bank of England, or (iv) the Secured Overnight Financing Rate ("SOFR"),
which is currently provided by the Federal Reserve Bank of New York. As at the date of this Prospectus,
SONIA and SOFR do not fall within the scope of the Benchmark Regulation (Regulation (EU)
2016/1011) (the "Benchmark Regulation"). As at the date of this Prospectus, IBA does appear on the
register of administrators and benchmarks established and maintained by the European Securities and
Markets Authority ("ESMA") pursuant to Article 36 of the Benchmark Regulation. As at the date of this
Prospectus, EMMI does not appear on the register of administrators and benchmarks established and
maintained by ESMA pursuant to Article 36 of the Benchmark Regulation. As far as the Issuer is aware,
the transitional provisions in Article 51 of the Benchmark Regulation apply, such that EMMI is not

IMPORTANT EEA RETAIL INVESTORS
